A Short Introduction for Fellows

This textbook makes a claim most corporate finance books avoid: the tools you use to analyze capital structure, value acquisitions, forecast cash flows, and assess risk aren’t neutral containers for analysis—they’re part of the analysis itself. Excel makes certain errors easy (hardcoded values, circular references, broken audit trails). Python makes other errors easy (silently broadcasting mismatched arrays, overfitting ML models to noise, ignoring numerical precision). LLMs make still other errors easy (hallucinating plausible-sounding valuations, confusing correlation with causation, generating confidently wrong DCF calculations).

The book’s intellectual contribution isn’t teaching corporate finance through three platforms separately. It’s demonstrating that triangulation across platforms—solving the same problem in Excel, Python, and via LLM prompts, then investigating discrepancies—produces both more reliable answers and deeper understanding than any single method.

When Excel’s NPV returns $47.2M, Python’s numpy-financial returns $47.5M, and the LLM calculates $46.8M, you don’t have three answers. You have a diagnostic puzzle that forces you to check: Did Excel use beginning-of-period vs. end-of-period timing? Did Python correctly handle the uneven cash flow dates? Did the LLM assume annual compounding when the problem specified semi-annual? Solving that puzzle teaches more about time value of money than memorizing the formula ever could.

Right now, this manuscript exists as architecture: 33 chapters spanning foundational concepts through advanced topics, each presenting corporate finance principles through the trilateral lens. What it needs is implementation that proves triangulation works, documents when it fails, and builds the infrastructure for students to practice diagnostic thinking.

The Fellows Opportunity

We’re looking for contributors to work on two specific deliverables:

1. Exercises and Triangulated Problem Sets

Each chapter presents corporate finance concepts—from time value of money through M&A valuation, from working capital management through real options—but lacks the worked examples that transform theory into diagnostic practice. Fellows would:

  • Design triangulated problems where students solve identical problems across three platforms, document their approaches, then diagnose discrepancies:

    • “Calculate WACC for Apple using: (a) Excel with built-in functions, (b) Python with numpy-financial and pandas, (c) LLM prompts with chain-of-thought reasoning. When your answers diverge by more than 50 basis points, identify the source: different beta estimation windows? Market vs. book value weights? Risk-free rate selection?”

  • Build reference implementations demonstrating best practices:

    • Excel workbooks with proper structure: separate input/calculation/output sheets, named ranges, data validation, scenario managers, sensitivity tables

    • Python notebooks integrating financial libraries: numpy-financial for TVM, pandas for statement analysis, scipy for optimization, QuantLib for derivatives, with proper error handling and unit tests

    • LLM prompt templates with validation logic: role assignment, chain-of-thought reasoning, output format specifications, cross-referencing against structured data

  • Create realistic corporate finance datasets:

    • Financial statements with intentional complexities (restatements, discontinued operations, non-GAAP adjustments, operating lease capitalization)

    • M&A scenarios with synergy estimation challenges (revenue vs. cost synergies, integration costs, earnouts)

    • Capital budgeting cases with embedded real options (expansion, abandonment, timing flexibility)

    • Working capital situations with seasonal fluctuations, collection issues, supply chain disruptions

  • Document platform-specific failure modes:

    • When does Excel’s Solver find local optima instead of global in portfolio optimization?

    • When does Python’s IRR function fail to converge (multiple sign changes, flat segments)?

    • When do LLMs hallucinate credit ratings or confabulate synergy percentages that sound plausible but contradict the data?

2. Accuracy and Clarity Review

The manuscript contains formulas, methodological claims, and computational specifications requiring verification:

  • Validate mathematical implementations across platforms:

    • Does Excel’s DURATION function correctly implement Macaulay duration vs. modified duration?

    • Does QuantLib’s bond pricer handle day-count conventions (30/360, Actual/365, Actual/Actual) consistently with market standards?

    • Do LLM-generated Black-Scholes calculations preserve numerical precision for out-of-the-money options?

    • Does the triangulation tolerance (±2% for valuations, ±5bp for rates) actually capture meaningful differences?

  • Verify corporate finance conventions and practices:

    • Capital structure theory claims (MM propositions, trade-off theory, pecking order)

    • Empirical regularities cited (acquisition premiums 30-40%, underpricing 15-20%, target beta ranges by industry)

    • Regulatory requirements (Sarbanes-Oxley provisions, Dodd-Frank say-on-pay, IFRS 16 lease capitalization)

    • Market conventions (WACC calculation methods, terminal value estimation, comparable company selection)

  • Test code for reproducibility and robustness:

    • Do Python snippets run without modification on current library versions?

    • Are Excel formulas structured to prevent common errors (absolute vs. relative references, circular reference handling, array formula syntax)?

    • Do LLM prompts specify sufficient constraints to prevent hallucination (demand citations, specify calculation steps, require confidence intervals)?

  • Assess pedagogical clarity for dual audiences:

    • Can finance professionals with Excel fluency follow the Python implementations?

    • Can software engineers with programming background understand the corporate finance intuition?

    • Are complex concepts (APV vs. WACC vs. FTE, real options valuation, GARCH volatility forecasting) explained through multiple lenses?

    • Do worked examples progress from simple to complex with clear signposting?

Why This Matters

Corporate finance decisions determine whether companies invest wisely, raise capital efficiently, manage risk effectively, and create value for stakeholders. Getting these decisions right requires both theoretical understanding (what’s the correct formula?) and implementation competence (did I apply it correctly?).

The gap between theory and implementation is where value gets destroyed. A CFO who understands WACC conceptually but miscalculates it in Excel—using book values instead of market values, or forgetting the tax shield on debt—makes incorrect investment decisions. An analyst who runs a DCF in Python but doesn’t validate assumptions about terminal growth rates produces a valuation divorced from economic reality. A team using LLMs to accelerate financial modeling without checking for hallucinated numbers builds analyses on quicksand.

This book’s trilateral approach addresses that gap directly. By forcing students to implement the same analysis three ways, we’re not just teaching corporate finance—we’re teaching computational skepticism. When Excel, Python, and an LLM all return different answers, students can’t simply accept authority. They must diagnose the discrepancy, understand where each platform’s assumptions diverge, and develop judgment about which answer to trust.

The humanitarian dimension: if sophisticated corporate finance analysis remains locked behind expensive Bloomberg terminals, proprietary trading systems, and MBA tuition, economic opportunity concentrates. If these tools become accessible via free platforms (Excel in every office, Python open-source, LLM APIs), individual investors, small businesses, and emerging market firms can compete with Goldman Sachs—but only if the tools are reliable and users understand their limitations.

Bad computational finance isn’t just frustrating—it’s dangerous. It leads to overvalued acquisitions (destroying billions in shareholder value), undercapitalized firms (vulnerable to shocks), poorly hedged risks (exposing firms to ruin), and misallocated capital (funding projects that destroy value while rejecting those that create it).

What Success Looks Like

By project completion, each chapter should have:

  • 3-5 triangulated exercises with complete solutions showing:

    • Excel implementation with cell formulas visible, assumptions documented, sensitivity analysis

    • Python implementation with clean code, unit tests, error handling, visualization

    • LLM prompt with chain-of-thought reasoning, output validation, confidence assessment

    • Diagnostic commentary explaining when/why methods diverge and which to trust

  • Reference implementations for core techniques:

    • Capital budgeting models (NPV, IRR, sensitivity analysis, scenario planning)

    • Valuation frameworks (DCF, comparable companies, precedent transactions)

    • Capital structure optimization (WACC calculation, leverage analysis, tax shield valuation)

    • Risk management tools (VaR calculation, hedge effectiveness testing, portfolio optimization)

    • Financial statement analysis (ratio calculation, DuPont decomposition, forecasting models)

  • Verified technical content with proper citations:

    • Academic papers establishing empirical regularities (Fama-MacBeth, Fama-French factors)

    • Regulatory documents specifying requirements (SEC rules, FASB standards, Basel accords)

    • Market data sources with access methods (FRED API, SEC EDGAR, yfinance documentation)

    • Library documentation for Python packages (numpy-financial, QuantLib, pandas)

  • Prose edited for parallel learning paths:

    • Finance practitioners learning Python: clear explanations of data structures, control flow, functional vs. imperative paradigms

The Larger Context

This textbook addresses a pedagogical crisis in corporate finance education. Traditional approaches teach either:

  1. Excel-centric finance (business schools): Accessible and transparent, students can inspect every calculation. But doesn’t scale to large datasets, creates version control nightmares, makes reproducible research difficult, hides logic in cell references.

  2. Theory-centric finance (economics PhD programs): Mathematically rigorous, proves theorems, derives equilibrium conditions. But divorced from implementation, assumes students will “figure out” the computational details, treats platform choice as trivial.

  3. Python-centric quant finance (CS/data science programs): Scalable, reproducible, integrates with ML pipelines. But steep learning curve for finance practitioners, assumes programming fluency, can obscure financial intuition behind abstraction layers.

None teaches computational triangulation—the discipline of solving problems multiple ways to expose hidden assumptions, catch implementation errors, and build intuition about when methods fail. This book recognizes that disagreement between platforms isn’t a bug to eliminate but a feature to exploit pedagogically.

The LLM dimension fundamentally changes the game. For the first time, you can ask “What’s Apple’s WACC?” in natural language and receive a calculation with explanation. This democratizes access—finance becomes available to anyone who can write clear English, not just those who can code or master Excel’s function syntax.

But LLMs also introduce new failure modes. They hallucinate numbers that look plausible. They confidently calculate formulas incorrectly. They miss subtle requirements (semi-annual compounding, day-count conventions, market vs. book values). Triangulation mitigates these risks while preserving accessibility: use the LLM for rapid prototyping and explanation, but validate against Excel transparency and Python rigor.

The Work Ahead

Fellows contributing to this project need expertise spanning at least two of three domains: corporate finance, programming, or technical writing. Ideally, teams combine:

  • Corporate finance expert: Ensures formulas match practitioner standards, interprets results economically, identifies unrealistic assumptions, knows when textbook theory diverges from market practice

  • Python/data science developer: Writes clean production-quality code, implements proper error handling, optimizes numerical methods, understands when floating-point precision matters, debugs library version incompatibilities

  • Excel power user: Structures workbooks for auditability, uses advanced features properly (array formulas, data tables, Solver, Goal Seek), avoids common pitfalls (circular references, volatile functions, hardcoded magic numbers)

  • Technical writer/educator: Structures exercises for progressive difficulty, explains concepts without condescension, anticipates student confusion points, creates clear documentation

The work involves:

  • Building problem sets where triangulation reveals insight, not just “all three methods agree”:

    • Design cases where Excel’s iterative solver converges to a local optimum while Python’s global optimizer finds the true maximum

    • Create scenarios where LLMs make economically plausible but mathematically incorrect assumptions (perpetual growth rate exceeds discount rate, negative working capital investment)

    • Construct exercises where different day-count conventions materially affect bond prices

  • Creating datasets realistic enough to teach data cleaning:

    • Financial statements with footnote adjustments required (operating leases pre-IFRS 16, pension liabilities, stock-based compensation)

    • Market data with missing values, outliers, stock splits requiring handling

    • Text data (earnings calls, analyst reports) requiring parsing and sentiment analysis

  • Writing documentation that serves multiple learning paths:

    • Finance practitioners: “Here’s the corporate finance concept, here’s how to implement in Python, here are the programming constructs you need to know”

    • Programmers: “Here’s the Python implementation, here’s the corporate finance theory it implements, here’s why these assumptions matter economically”

    • Students learning both: Integrated explanation connecting theory to implementation

  • Testing whether triangulation methodology actually improves learning:

    • Do students make fewer errors when required to validate across platforms?

    • Do diagnostic exercises (investigating discrepancies) produce deeper understanding than traditional problem sets?

    • Does exposure to platform-specific failure modes make students more computationally skeptical?

Why Bother?

Because capital allocation determines which companies grow, which innovations get funded, which risks get managed, and which value gets created or destroyed. Poor capital allocation—driven by incorrect calculations, unexamined assumptions, or blind faith in tools—has real consequences: failed acquisitions, bankrupt companies, systemic financial crises.

Making corporate finance tools accessible without making them reliable creates false confidence. Teaching students to use Excel without teaching them where Excel fails produces analysts who trust their models too much. Teaching Python without teaching financial intuition produces code that’s syntactically correct but economically meaningless. Teaching LLMs without teaching validation produces hallucinated analyses that look professional but compound errors.

The trilateral approach builds genuine competence: students learn not just how to calculate WACC, but how to know whether their calculation is correct. They develop judgment about when discrepancies matter (2% difference in enterprise value might be rounding; 20% difference indicates an error). They internalize that financial modeling isn’t about finding “the answer”—it’s about building robust estimates that survive scrutiny.

This project needs people who care about getting details right because details matter. Who understand that a sign error in a debt covenant calculation isn’t just embarrassing—it’s the difference between a company having financial flexibility and violating loan agreements. Who recognize that documentation quality determines whether analyses can be audited, reproduced, and trusted.

The work isn’t glamorous. It’s verifying that formula 14.3 correctly implements MM Proposition II. It’s testing whether Python’s QuantLib bond pricer handles callable bonds correctly. It’s writing LLM prompts that reliably extract credit ratings from text without hallucinating. It’s creating datasets messy enough to teach data cleaning but clean enough to debug quickly.

But it’s the kind of work that determines whether corporate finance education empowers people to make better decisions or just gives them dangerous tools they don’t fully understand.

Getting Started

Chapter 3: Financial Decision Making and the Law of One Price

Core Claim: Law of One Price (LOOP): identical assets must trade at identical prices else arbitrage opportunities arise; no-arbitrage pricing foundation for valuation—asset value equals present value of cash flows discounted at rate reflecting systematic risk; competitive markets eliminate mispricing through arbitrage.
